Hire Resolve's client, a leading mining company, is currently seeking a skilled General Manager (Legal, Compliance & Company Secretary) to join their team based in Gauteng.
Requirements:
- Bachelor of Law Degree (LLB)
- Must be an admitted Attorney in the High Court of SA
- 8 to 10 years’ experience across strategic and senior management
functions.
- At least 5 years’ experience in Compliance Risk Management and Company Secretarial Practice within a corporate legal department in the mining industry or a reputable law firm.
- Experience working in fast-paced environment
- Member of the South African law society / professional institute
- Certifications in corporate governance or company secretarial practices (Advantageous)
Duties and Responsibilities:
- Develop and implement the KMR Corporate Compliance Programme.
- Develop and implement the KMR Corporate Risk Register.
- Reports to the CEO and Board of Directors regularly to review progress on programme implementation and establish improvement plans.
- Ensures adherence to local and international laws and regulatory requirements.
- Provide legal advice to the business including new and upcoming projects.
- Review and draft agreements and contracts, negotiate terms, ensure legal compliance, and regularly update standard documents/forms to meet regulations
- Ensures and monitors compliance with local and international laws / standards about market abuse, conflicts of interest, market conduct, and employee compliance.
- Encourages staff to report suspected fraud or impropriety without fear of retaliation.
- Perform secretarial duties for various committees, board and shareholder meetings (eg compile and circulate notices, agendas and meeting papers for various committees, draft and file minutes etc).
